TERMS AND CONDITIONS FOR SUPPLIERS OF TRAINING TO
EDOLANDO.COM

§ 1

  1. These Regulations for training providers (hereinafter: Supplier Regulations) define the basic terms and conditions of cooperation between Users acting as Trainers and Edolando.com.

  2. The Supplier Regulations use the terms introduced and explained in the Edolando.com Regulations (hereinafter: the Regulations), which in this document have the same meaning as in the indicated Regulations, available at www.edolando.com/en/service-regulations , unless the Supplier Regulations explicitly indicate a different meaning.

  3. In matters not covered by the Supplier Regulations, the provisions of other internal acts of Edolando.com shall apply, in particular the provisions of the Regulations.

§ 2

  1. A User who wants to act as a Trainer is obliged to provide correct information about:
    a. their experience in training,
    b. the number of trainings offered,
    c. the number of participants for whom the training offered has been completed,
    d. the target group of training offered,
    e. the type of training offered.

  2. A User registering as a Trainer declares that they have the knowledge and experience enabling them to create high-quality educational materials that other Users will be able to use via the Website for their intended purpose (hereinafter: Training).

§ 3

  1. The trainer bears sole responsibility for the content of the Training they offer on the Website, in particular for their substantive content.

  2. The trainer undertakes to use the greatest diligence when creating the training that he intends to offer on the Website, both in terms of its content, as well as in the visual and technical elements.

  3. Before making the Training available on the Website, the Trainer is obliged to:

    1. complete the data in the Store Panel for billing purposes between the Trainer and the Operator.

    2. sign the appropriate agreement with the Payment Integrator by completing the appropriate form available in the Store Panel.

    3. include in the training description the following information, called Features:
      a. Training price,
      b. the duration of the Training,
      c. date of training (for stationary training),
      d. end devices on which the Training will be available - desktop, mobile or tablet,
      e. Training format - ebook, podcast, presentation, SCORM, tests/surveys, VR/AR, webinar, video or attachments,
      f. Training language,
      g. the competences that the Training develops,
      h. location of the Training (applies to stationary training),
      i. payment method for Training,
      j. Training availability period - the default Training availability period is one calendar year from the day the User makes the Payment, where the Trainer may indicate another Variant of the time period; Edolando.com reserves the right to specify the minimum and maximum time frames of the Training Availability Period, which will be binding on the Trainer,
      k. Training level - basic, intermediate or advanced.
      l. Training type - online, stationary or online + stationary,
      m. additional services - conference, consultation or training on request,
      n. scope of the package - business, ninja or pro
      o. Trainer providing the Training - The trainer may appear only under their own name and surname.

d. define a given Training on the Platform and link it appropriately in the Store Panel, thanks to which the appropriate product will be made available to the User after its purchase. Selected services may be not linked between the Store Panel and the Platform Panel, but in such cases the Operator's consent is required. The defined Training in the Platform Panel should have the Users feedback service enabled.

  1. Independent of the obligation to complete the Training Features, the Trainer is also required to formulate a concise training agenda, in particular regarding its substantive content, and to prepare a demo version (trial). The description should be formulated in a way that allows Users to learn about the most important aspects of the Training. If the Trainer does not prepare or offer the demo version of the Training by the time of its Publication, the Operator will be entitled, but not obliged, to independently prepare and to place on the Website a demo version of the Training.

  2. The Trainer is obliged to answer User or Operator questions regarding the Training they offer in order to ensure the appropriate level and quality of Services for Users and to fully clarify the issues contained in the question.

  3. The Trainer is obliged to thoroughly document the training sold in the Store Panel, in particular the number of Trainings sold, their prices, any discounts given and Users who purchased the Training, as well as organize and conduct the stationary training sold in a manner consistent with its description. Regardless of the obligations indicated, the Trainer is always required to issue a sales document in accordance with applicable regulations when selling the Training, based on the User's data that will be provided to him by the Operator. Edolando.com is entitled to indicate other materials than the ones mentioned above, which the Trainer will be obliged to take into account. The trainer is obliged to immediately provide Edolando.com with additional information on each request, and, if necessary, to provide necessary information or explanations.

  4. Acceptance of the Publication of the Training in the Store by the Operator is possible only after correct preparation of the Training description and company and Trainer descriptions and selecting "Report training for publication" in the edit product card in the Store Panel and saving them. The trainer agrees that the Operator can view the defined training in the Platform Panel so as to assess the correctness and configuration of the prepared training.

  5. The publication of the Training by the Trainer constitutes the consent to offer this Training on the Website in the manner based on the principles set out in the Supplier Regulations and the Website Regulations, without transferring property rights to the Operator to the Training. A transfer of property copyrights of the Training to the Operator requires the conclusion of a separate agreement between the Trainer and the Operator.

§ 4

  1. The Trainer will not offer Training on the Website that: is contrary to the law; is inappropriate, offensive, false or misleading; is contrary to the principles of social coexistence; may harm the reputation and good name of Edolando.com.

  2. The Trainer cannot offer Training on the Website if it violates the rights of third parties, in particular the violation of property copyrights or personal copyrights. By offering Training on the Website, the Trainer declares that they have the necessary rights that allow them to offer Training to Users and Participants in a binding manner, without infringing the rights of third parties. In the event of a breach of the rights of third parties, the sole responsibility for this, including the obligation to cover any costs of legal proceedings and legal representation, shall be borne by the Trainer.

  3. The Trainer may not offer Training on the Website that contains marketing, advertising or promotional content regarding the Trainer themself or a third party, with the exception of information about the Trainer’s other thematically-related Trainings available on the Edolando.com Website. In the case of a demo version of the Training posted on a website other than Edolando.com, the Trainer is obliged to ensure that before, during or after its playback there are no advertisements other than those related to the Training offered on the Website, unless the Operator expresses consent to the Trainer via email.

  4. The Trainer may not take any actions via the Website that could constitute a competitive activity to the activities conducted by Edolando.com, including referring to trainings that are not offered on the Edolando.com Website.

  5. The Trainer may not conduct any activities through the Website unrelated to the subject of Edolando.com's activities, i.e. offering education, training and instructional services.

  6. By offering Training on the Website, the Trainer declares that it meets all the requirements set out in the Supplier Regulations. Offering Training is dependent on understanding that by requesting Edolando.com to place the Training on the Website, the final decision in this matter belongs to Edolando.com. Edolando.com reserves the right to refuse to place Training on the Website, without providing any reason, and to remove Training from the Website in the event of acquiring information that was unknown at the time of placing the Training on the Website, which, in the opinion of Edolando.com, justifies its removal.

  7. If an issuer of a payment card recognizes that a transaction between a Trainer and a User is fraudulent, the Trainer is obliged to reimburse the Operator for all costs incurred by the Operator in this respect, in particular the costs of dealing with the complaint, including the refund of the amount due payment covered by the complaint.

  8. In the event of imposing an obligation on the Operator to reimburse the costs incurred by the Payment Integrator in connection with the positive settlement of the complaint by the entity offering the payment service, under which the User transfers to the Payment Integrator funds for the payment for Services purchased through the Website, where the complaint was based on actions or failure of the Trainer, the Trainer will cover all costs incurred by the Operator in this respect.

  9. The Trainer is obliged to provide full information to the Operator, in the event of a complaint to the Operator, within three business days of such a request. Failure to comply by the Trainer within this period will result in the complaint being considered only on the basis of the information held by the Operator and those entities cooperating with it, and the Trainer will be obliged to bear any negative consequences if it is found that they have violated the obligations, undertaken by them as a Trainer, arising from the Operator's internal documents or generally applicable laws.

§ 5

  1. The Trainer sets the price of the training that they offer, Edolando.com reserves the right to indicate the minimum and maximum prices within which the price proposed by the trainer must be.

  2. The Trainer may offer Users a discount on the Training that they offer, however, this discount may not lead to the Training price being lower than the minimum price indicated by Edolando.com, if such a price was determined by e-mail with the Operator.

  3. The price set by the Trainer is a net price. The Training will be offered at a price increased by the goods and services tax indicated by the Trainer at the currently applicable rate (gross price).

  4. For each sale offered by the Trainer on the Website, the Operator is entitled to a commission fee at the amount of 40% of the revenue obtained by the Trainer, calculated from the gross price of the Training. The trainer is obliged to issue an appropriate proof of sale of the Service in accordance with applicable laws for the total sales value for the User.

  5. The amount of commission due to the Operator referred to in § 5 (4) of the Supplier Regulations may change as a result of separate arrangements made between the Trainer and Edolando.com and/or activation of a new tariff in the Store Panel. The commission due to the Operator will be increased by the value added tax at the currently applicable rate and included in the VAT invoice issued by him, with a deferred payment date of fourteen days. If the Trainer sells more than one Training in a given calendar month, the Operator will issue a VAT invoice at the end of that calendar month, which will cover the commission due to him for the sale of all Trainings offered by that Trainer.

  6. Monitoring of individual values of settlements between the Trainer and the Operator will be available in the Settlement menu in the Store Panel.

  7. The remuneration due to the Trainer will be always transferred to them in Polish currency, regardless of the currency used by the User to pay for the Training.

  8. The amount of remuneration due to the Trainer for the Training sold is determined on the basis of sales lists kept by Edolando.com and the documentation referred to in § 3 (6) of the Supplier Regulations, which the Trainer is obliged to keep.

  9. The settlement and transfer of remuneration due to the Trainer will take place via the Payment Integrator. It is necessary for the Trainer to conclude a separate contract with the Payment Integrator, based on which the remuneration due for the sale of the Training offered on the Website will be transferred to them. The form, which must be completed in order to sign the relevant contract with the Payment Integrator, is available in the Store Panel.

  10. Edolando.com in no way mediates in the conclusion of the contract between the Trainer and the Payment Integrator. The conclusion of the contract by the Trainer with the Payment Integrator is voluntary, but necessary for the publication of Training in the Store and the transfer of remuneration due to them for the sale of Training offered on the Website.

  11. The Operator, at the request of the entity offering the payment service, under which the User transfers funds to the Payment Integrator for the purpose of payment for Services purchased through the Website, is obliged to provide the entity with a report on the activity of any Trainer containing, inter alia, data on transactions carried out between that Trainer and Users and a summary of these transactions.

  12. The Trainer, at the request of the entity offering the payment service, under which the User provides the Payment Integrator with funds for the purpose of payment for Services acquired through the Website, is obliged to always answer that entity's questions regarding any transactions carried out between the Trainer and Users.

§ 6

  1. If the Trainer conducts marketing activities on their own to promote the Training offered on the Website, all related costs shall be borne by the Trainer.

  2. If the Training contains elements whose lawful use depends on the consent of third parties or the payment of appropriate fees to them or to intermediaries, the Trainer is obliged to obtain these consents and make any payments within a time limit allowing for placing and offering the Training on the Website without infringing the rights of third parties. If the payments are cyclical, the Trainer is obliged to regulate them throughout the period of offering the Training on the Website. Edolando.com does not participate in any such costs, unless other written arrangements are made directly between Edolando.com and the Trainer.

§ 7

  1. In the event of a violation by the Trainer of the provisions of the Supplier Regulations, Edolando.com shall be entitled to limit, suspend or revoke the Trainer's rights of the User who has registered in this role.

  2. If Edolando.com deems that the Supplier Regulations require modification, the necessary changes will be made to its content, about which Users acting as Trainers will be informed by the sending of relevant information to the email addresses they provided during registration, at least seven days before the planned modification.
